Plain terms for business customers.

Fourteen short clauses. They govern the free Snapshot, the AI Visibility Audit and Optimisation. The accepted offer says what we do; this page says how we work together.

  1. Parties and scope

These terms apply to every service Qualmia OÜ ("Citehelm", "we") provides to a business customer ("Client", "you"). We serve businesses only; by ordering you confirm that you act in the course of a trade or profession. The accepted offer (an e-mail suffices) and these terms form the contract; the offer prevails where the two differ. Terms of the Client are not part of the contract unless we accept them in writing.

  2. Services

We deliver the services described in the accepted offer: the free AI Visibility Snapshot, the AI Visibility Audit, and Optimisation (implementation followed by monitoring). Changes in scope are agreed in writing; e-mail is sufficient.

  3. Delivery, not outcomes

We deliver measurements, analyses, plans and implementation work as described. We do not guarantee that any AI engine or search engine will mention, cite or rank the Client, or any traffic, lead or revenue figure. Generated answers vary from run to run and depend on third-party systems outside anyone's control. Figures in our reports are measurements on the stated dates, not predictions.

  4. Free Snapshot

The Snapshot is a free, single-run sample provided without any obligation on either side. It is delivered as a PDF within 48 hours on working days after we receive a complete request. We may decline or limit Snapshot requests at our discretion, for example for domains we already measure for a competing client.

  5. The Client's part

You provide what the service needs: approval of the question set within the agreed time, the information we ask for at intake, and — where agreed — read-only access to logs, analytics or search consoles. Delays on your side extend our timeline accordingly. You confirm that you are entitled to have the named website measured and, for Optimisation, changed.

  6. Access to and changes of your systems

We change your website, hosting, DNS or accounts only with your explicit written permission and only as agreed per item; otherwise we deliver instructions and code and your team implements them at the same price. We keep a dated log of every change we make and hand it over on request. Access credentials you give us are used only for the agreed work and deleted when the engagement ends.

  7. Fees and payment

Prices are in euro and exclude VAT. For business customers in another EU member state with a valid VAT ID the reverse-charge mechanism applies; Estonian VAT is added otherwise where the law requires. The Audit fee is invoiced on delivery of the report; Optimisation is invoiced monthly in advance. Invoices are due within 14 days by bank transfer or card. The Audit fee is credited in full against the first Optimisation invoice if Optimisation starts within 30 days of the Audit's delivery. Late payment bears statutory interest under Estonian law, and we may pause work until overdue amounts are settled.

  8. Term and termination

The Snapshot and the Audit are one-off services. Optimisation runs for a minimum of three months of implementation and then converts into rolling monthly monitoring unless cancelled in writing before the end of the third month; monitoring can be cancelled by either party with one month's notice to the end of a month. Either party may terminate for a material breach that is not cured within 14 days of written notice. On termination you pay for work delivered up to the end date.

  9. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the engagement. Measurement data about your company is yours. We may use anonymised, aggregated findings for our research and publications, and we name you as a client or reference only with your written consent.

  10. Intellectual property

Reports, plans and content we create for you become yours to use on full payment. Our methods, question libraries, templates, scripts and tooling remain ours, and we may reuse general know-how gained in the engagement. Content we place on third-party sites on your behalf is subject to those sites' terms.

  11. Data protection

We process the business contact data of your staff and public website and measurement data; we do not need and do not process personal data of your customers. Details are in our privacy notice. Where you give us access to logs or analytics, we process aggregated statistics only and delete raw exports on delivery.

  12. Liability

Our total liability under a contract is limited to the fees you paid for the service concerned in the three months before the event giving rise to the claim; for the free Snapshot it is excluded to the extent the law allows. We are not liable for indirect or consequential loss, lost profit, or for the behaviour of third-party AI, search, hosting or directory systems. Nothing in these terms limits liability for intent, gross negligence, or where the law does not permit a limitation.

  13. Law and venue

The contract is governed by Estonian law, excluding its conflict-of-law rules and the UN Sales Convention. Exclusive venue is Harju County Court, Tallinn, unless mandatory law of the Client's state provides otherwise. Before going to court, the parties try in good faith to settle a dispute in a call within 30 days.

  14. Miscellaneous

If a provision is invalid, the rest remains in force. We may update these terms for future orders; the version accepted with your offer applies to that order. Notices are valid by e-mail to the addresses used for the engagement. Operator details: Qualmia OÜ, Vindi 8, 11315 Tallinn, Estonia, registry code 14677901.
